Working with SkynetLabs — the contract
The terms that govern engagements with SkynetLabs and use of the website at skynetjoe.com. Written plainly so both sides know where they stand from day one.
1. Who we are
SkynetLabs is a sole-proprietor consulting practice operated by Waseem Nasir from Bali, Indonesia. There is no holding company, no board, no investors. One founder, one operator. Email info@skynetjoe.com.
2. What this contract covers
This agreement governs:
- Your use of the website at skynetjoe.com and its subpaths.
- Any consulting, automation, or development service delivered by Waseem Nasir or SkynetLabs.
- The free tools and content published on this site.
By engaging us or using this site, you agree to these terms. If you don't agree, don't engage and don't use the site.
3. Engagement basics
A paid engagement begins when both of the following are true:
- You sign (or email confirmation of) the written proposal we send you.
- A 50% deposit is received in our bank account or Stripe.
Deliverables, scope, and ship window are stated in the proposal. They are the source of truth for what we owe each other. Any change to scope after kickoff requires a written change order from either side.
4. Payment
Invoices go out via Stripe or Wise. Default terms:
- Deposit — 50% on engagement start, before any work begins.
- Final invoice — issued on ship. Payment terms net 14 unless stated otherwise in the proposal.
- Late payments — accrue 2% per month interest from the day after the invoice due date.
- Refunds — full refund within 7 days if no work has shipped. After work has started, a partial pro-rata refund is available if SkynetLabs cannot complete the engagement.
We do not accept payment in cryptocurrency, cash, or gift cards.
5. IP and ownership
On full payment of the engagement, you own the deliverables: the code we wrote for you, the content we drafted for you, the designs we produced. You may use them, modify them, and license them freely.
SkynetLabs retains two narrow rights:
- The right to reference the engagement in case studies and portfolio entries. We anonymize any reference if you ask in writing.
- The right to reuse our internal frameworks and patterns (the structural approach, not your specific business logic) on future engagements with other clients.
Third-party tools, libraries, and platforms used in the build retain their own licenses. We will list them at handoff so you know what's running underneath.
6. Confidentiality
Both sides agree to keep each other's non-public information confidential for two years after engagement close. Standard NDA exceptions apply: legally required disclosures, information already in the public domain, information independently developed without reference to the other party.
We can sign a separate NDA on top of this clause if your legal team requires it. Send your template, we'll review it inside one week.
7. Limitations of liability
The work is provided "as-is". We test what we ship, but no software is bug-free.
Aggregate liability is capped at the total fees paid to SkynetLabs in the six months preceding the claim. SkynetLabs is not liable for indirect, consequential, or incidental losses — including lost profit, lost data, business interruption, or third-party platform changes (Meta, Google, OpenAI, Anthropic, etc.).
We carry no separate professional indemnity insurance. If your jurisdiction requires this for the work, tell us at proposal stage so we can quote with insurance arranged.
8. Termination
Either side may terminate the engagement with 14 days written notice by email. SkynetLabs may suspend work immediately if any invoice is more than 21 days overdue. On termination:
- You pay for all work completed up to the termination date.
- We hand over all work product completed up to that date.
- Both sides keep the confidentiality and IP terms in this contract.
9. Disputes
This contract is governed by the laws of the Republic of Indonesia. We resolve disputes in this order:
- Good-faith negotiation — both sides talk it out directly, in writing, for at least 30 days.
- Mediation — if direct negotiation fails, we appoint a neutral mediator.
- Arbitration — if mediation fails, binding arbitration in Jakarta, Indonesia under BANI (Badan Arbitrase Nasional Indonesia) rules.
Neither side may file in court before completing these steps, except for emergency injunctive relief.
10. Service availability
The website at skynetjoe.com and any free tools published on it are provided as a non-paid resource. We don't guarantee uptime. Downtime windows are not refundable. Paid clients with hosted deliverables receive whatever uptime guarantee is stated in their specific proposal.
11. Acceptable use of free tools
The free tools, calculators, guides, and content on skynetjoe.com are published for individual use. You may not:
- Scrape the site at scale or with automated tools.
- Resell or repackage the content as your own product.
- Use the content for commercial training of an AI model without written permission.
- Embed the tools inside a commercial product without a license.
For permission to do any of the above, email info@skynetjoe.com. We say yes more often than not.
12. Changes to these terms
Last updated 2026-05-20. Material changes are emailed to active clients with at least 14 days notice. Minor wording fixes are made silently. The "last updated" date at the top of this page always reflects the latest revision.
Plain summary: half upfront, half on ship, you own the deliverables on payment, we reference the work in case studies unless you say no, and disputes settle in Jakarta if it ever gets that far.
